English Definition
The core commercial contract transferring ownership of an asset, share block, or goods from one party to another for a stated consideration; in corporate transactions this instrument is typically the Sale and Purchase Agreement (SPA). In project finance and M&A, where value is genuinely protected is determined less by the headline price than by the SPA's architecture of representations and warranties, indemnity caps, escrow or holdback, and conditions precedent to closing. The experienced party concentrates its negotiation on these risk-allocation terms rather than the purchase figure.
