English Definition
A sale in which the seller transfers an asset in its present physical condition, giving no warranty of repair, correction, or latent-defect protection, so that risk passes wholly to the buyer on delivery. The structure forces the buyer to deepen due diligence, since the route to a post-closing defect claim is essentially closed. In project finance it is common in acquisitions of distressed or half-built facilities, where the buyer offsets the absence of warranties through a discount to purchase price and a technical-advisor report, and lenders balance the shortfall with an additional reserve requirement.
