English Definition
The legal document governing the transfer of ownership of goods or services from seller to buyer for a stated price, defining price, quantity, delivery terms, passage of risk, and the consequences of default. In project finance a sales contract is not a mere commercial paper but the foundation of a project's bankability; lenders scrutinize the tenor of the long-term offtake agreement, its price formula, the buyer's credit quality, and its termination provisions so that they match the debt tenor, since every gap on the revenue side flows straight through to debt-service capacity.
