Bir şirketin varlıkları üzerinde tesis edilmiş rehin, ipotek ve diğer teminat haklarının kayıtlı olduğu resmî sicilin, mevcut yükleri ortaya çıkarmak üzere taranmasıdır; İngiliz hukuku sisteminde şirket teminat sicili, ABD'de ise UCC finansman beyanları bu işlevi görür. Proje finansmanında kredi verenler, alacaklarını teminat altına almadan önce bu araştırmayla varlıkların temiz olduğunu — üzerinde önceki bir teminat bulunmadığını — doğrular; aksi halde tesis edilecek yeni teminatın önceliği tartışmalı hale gelir. English Definition
The examination of the official register recording pledges, mortgages, and other security interests created over a company's assets, conducted to reveal existing encumbrances; in the English-law system the company charges register performs this function, in the United States UCC financing statements. In project finance, lenders use this search to verify, before taking their own security, that the assets are clean — free of prior charges — since otherwise the priority of the new security becomes contestable. It also serves to check whether any negative-pledge covenant in existing loan agreements would be breached by the proposed security.
