Bir teminatın güvence altına aldığı yükümlülüktür; teminat sözleşmelerinde çoğu zaman büyük harfle tanımlanan bir terim olarak, teminatın hangi borçları kapsadığının kesin sınırını çizer. Bu tanımın genişliği kritik bir müzakere alanıdır: 'teminatlı yükümlülükler' yalnızca belirli bir krediyi mi, yoksa borçlunun aynı kredi verene karşı mevcut ve müstakbel tüm borçlarını mı kapsıyor (all-monies güvence) sorusu, teminatın etkin değerini belirler. Proje finansmanında bu kapsam ayrıca alacaklılar arası paylaşımı da etkiler; zira aynı teminatın birden çok yükümlülüğü güvence altına aldığı yapılarda, tanımın sınırları teminatın sıralı mı yoksa oransal mı paylaşılacağını belirleyen zemini oluşturur.
English Definition
The obligation that a security interest secures; in security documents it is often a capitalized defined term drawing the precise boundary of which debts the collateral covers. The breadth of this definition is a critical negotiation area: whether the secured obligations capture only a specific loan or all present and future debts of the borrower to the same lender (an all-monies security) determines the effective value of the collateral. In project finance this scope also affects intercreditor sharing, since in structures where the same collateral secures multiple obligations, the limits of the definition form the ground that decides whether the collateral is shared by ranking or pro rata.
