İki ayrı anlamı taşıyan bir terimdir: birincisi devredilebilir bir finansal enstrümanı (hisse, tahvil, bono) ifade eder; ikincisi bir borcun ya da yükümlülüğün ifasını güvence altına alan teminatı (rehin, ipotek, kefalet) belirtir. Proje finansmanında ikinci anlam baskındır; kredi verenlerin projenin tüm varlıkları, hesapları, sözleşmeleri ve hisseleri üzerinde kurduğu teminat paketi, temerrüt halinde projeyi devralıp (step-in) yürütmenin hukuki zeminini oluşturur. Bu iki anlamın aynı belgede karışması sık görülen bir tercüme tuzağıdır.
English Definition
Security is a term carrying two distinct meanings: first, a transferable financial instrument such as a share, bond or note; second, the collateral, such as a pledge, mortgage or guarantee, that secures performance of a debt or obligation. In project finance the second meaning dominates; the security package lenders take over the project's assets, accounts, contracts and shares forms the legal basis for stepping in and running the project on default. Conflating the two senses in a single document is a common translation trap.
