Bir borçlunun, alacaklı lehine belirli varlıklar üzerinde teminat hakkı tesis ettiği sözleşmedir; teminatın kapsamını, tesis şeklini ve icra koşullarını tanımlar. Proje finansmanında bu sözleşme yalın bir rehinden çok daha geniştir; proje hesapları, sigorta gelirleri, EPC ve PPA sözleşmelerinden doğan haklar, izinler ve hatta sponsor'un hisseleri tek bir teminat mimarisi altında toplanır. Bu belgenin en kritik hükmü çoğunlukla teminatın hangi yargı bölgesinin hukukuna tabi olacağı ve orada geçerli biçimde tescil edilip edilmediğidir; zira sınır ötesi projelerde tescil boşluğu teminatı fiilen değersiz kılabilir.
English Definition
A security agreement is the contract by which a debtor creates a security interest over specified assets in favor of a creditor, defining the scope of the collateral, the manner of its creation and the conditions for enforcement. In project finance it reaches far beyond a simple pledge; project accounts, insurance proceeds, rights under the EPC and PPA contracts, permits and even the sponsor's shares fall under one collateral architecture. Its most critical clause is often which jurisdiction's law governs the security and whether it is validly perfected there, since a perfection gap can render the collateral worthless.
