Bir teminat ilişkisini hukuken tesis eden ya da belgeleyen her tür enstrümanın genel adıdır; rehin sözleşmesi, ipotek senedi, temlik belgesi ve kefaletname bu kategoriye girer. Proje finansmanında teminat belgeleri tekil değil, birbirine atıfla bağlı bir set halinde kurgulanır ve çoğu kredi sözleşmesi bu setin tamamının imzalanıp tescil edilmesini bir kapanış ön koşulu (condition precedent) olarak listeler. Setin içindeki tek bir belgenin yerel hukuk gerekliliklerini karşılamaması, tüm teminat paketinin icra edilebilirliğini zayıflatabilir.
English Definition
A security document is the general name for any instrument that legally creates or evidences a security relationship, including the pledge agreement, mortgage deed, deed of assignment and guarantee. In project finance security documents are structured not singly but as a cross-referenced set, and most loan agreements list execution and perfection of the entire set as a condition precedent to closing. A single document within the set failing to meet local-law requirements can undermine the enforceability of the whole collateral package.
