English Definition
The transfer of real property cleared of any mortgage, attachment or other registered encumbrance — conveying clean title to the buyer — where charge denotes not a fee but a security interest registered against the property. In project finance this condition is the crux of collateral exchange: lenders release their security only against repayment of the debt or priority satisfaction from the sale proceeds. The closing mechanics typically run through an escrow arrangement, whereby the purchase price first discharges existing charges and clear title passes to the buyer only once that payment is confirmed.
