Geri ödeme ve teminat önceliği bakımından ikincil borç ve özkaynağın önünde yer alan kredi türüdür; proje finansmanının çekirdek finansman aracı olup borcun en büyük ve en ucuz dilimini oluşturur. Kıdemli kredi tipik olarak bir teminat paketiyle — proje varlıkları, hesaplar, hisse rehni ve sözleşmelerin temliki — güvence altına alınır ve nakit akışı bir waterfall içinde önce bu krediyi servis edecek biçimde yönlendirilir. Kredinin vade profili, projenin gelir sözleşmesinin süresiyle uyumlanır; sözleşme süresini aşan bir vade, kuyruk (tail) döneminde açık kalan yeniden finansman riskini doğurur ve bu risk fiyatlamaya baştan yansıtılır.
English Definition
A loan ranking ahead of subordinated debt and equity in repayment and collateral priority; the core financing instrument of project finance, forming the largest and cheapest slice of the debt. A senior loan is typically secured by a collateral package — project assets, accounts, share pledge and assignment of contracts — and cash flow is routed within a waterfall to service it first. The loan's tenor profile is matched to the term of the project's revenue contract; a tenor extending beyond the contract term creates refinancing risk left open in the tail, a risk priced into the terms from the outset.
