Proje finansmanı işlemlerinde bu kavram en somut hâlini due diligence veri odasında bulur; rekabet hassasiyeti taşıyan fiyatlama, off-take koşulları ya da tedarikçi marjları çoğu zaman yalnızca işlem sonrası ticari kararlara katılmayacak sınırlı bir clean team'e açılır. Zira bu bilginin karşı tarafın operasyonel eline geçmesi, kapanış öncesinde rekabet hukuku riskini tetikleyebilir.
English Definition
Data whose disclosure could cause commercial, competitive, or regulatory harm to a party, and which is therefore protected by confidentiality undertakings and access restrictions. In project finance transactions the concept crystallises in the diligence data room, where competitively sensitive pricing, off-take terms, or supplier margins are frequently released only to a clean team walled off from post-deal commercial decisions. That discipline exists because premature transfer of such information to a counterparty's operating side can trigger antitrust exposure before closing.
