Bir tarafın diğerine, belirli bir bedel karşılığında tanımlı bir hizmeti sağlamayı taahhüt ettiği sözleşmedir; proje finansmanında en tipik biçimi işletme ve bakım (O&M) sözleşmesidir. Bu sözleşmenin kalitesi kredi verenler için doğrudan bir risk değişkenidir; sabit bedelli mi yoksa maliyet-artı mı olduğu, performans garantilerinin ve teşvik-ceza mekanizmalarının nasıl kurgulandığı, projenin işletme aşamasındaki nakit akışı öngörülebilirliğini belirler. Nitekim zayıf tanımlanmış bir hizmet kapsamı, işletmecinin sorumluluğu ile sponsorun üstlendiği risk arasında, ancak ilk büyük arıza anında görünür hâle gelen bir boşluk bırakır.
English Definition
A contract under which one party undertakes to provide a defined service to another for a stated fee; in project finance its most typical form is the operation and maintenance (O&M) agreement. The quality of this contract is a direct risk variable for lenders: whether it is fixed-price or cost-plus, and how the performance guarantees and incentive-penalty mechanisms are framed, determines the predictability of operating-phase cash flow. A poorly defined scope of service leaves a gap between the operator's liability and the risk retained by the sponsor that becomes visible only at the moment of the first major failure.
