Bir yargılamanın başlatıldığını ve buna ilişkin belgeleri davalıya hukuken geçerli biçimde ulaştırma işlemidir; mahkemenin yargı yetkisini kurabilmesinin ön koşuludur. Sınır ötesi proje finansmanında bu kavram, doğrudan bir tebligat vekili (process agent) atanması pratiğine bağlanır; farklı yargı bölgelerindeki taraflar, seçilen hukuk ve yetkili mahkeme İngiltere ya da New York ise, o yargı bölgesinde kendilerine tebligat yapılmasını kabul edecek bir vekil tayin eder. Bu vekilin sözleşme süresince faal ve ulaşılabilir tutulması çoğu zaman bir covenant hükmüdür; zira vekilliğin boşa düşmesi, alacaklının icra yolunu fiilen kesebilir.
English Definition
The act of legally delivering to a defendant the documents that commence proceedings, and a precondition for a court to establish jurisdiction. In cross-border project finance this concept attaches to the practice of appointing a process agent: where the parties sit in different jurisdictions and the chosen law and forum are English or New York, each appoints an agent that will accept service on its behalf in that jurisdiction. Keeping that agent active and reachable for the life of the contract is frequently a covenant, because a lapse in the appointment can, in practice, sever the creditor's route to enforcement.
