English Definition
The act of establishing a new legal person in order to gather a specific activity, asset, or project within a company legally independent of the parent. This step is the cornerstone of project finance: each project is typically positioned under a single-purpose vehicle (SPV), with its own assets and liabilities, insulated from the sponsor's balance sheet. The real function of that insulation is to achieve bankruptcy remoteness by separating the project's cash flow and collateral from the sponsor's other risks; yet the remoteness does not arise by itself, depending on dealings with the sponsor being genuinely at arm's length and on governance discipline that forestalls piercing of the corporate veil.
