Bir tröst (trust) yapısı kuran, mülkiyetini mütevelliye (trustee) devrederek belirlenen lehtarlar yararına yönetilmesini sağlayan kişidir; kurduğu anda varlık üzerindeki hukuki mülkiyetini bırakır ancak tröst senediyle yönetim koşullarını tayin eder. Türk hukuku gerçek anlamda tröstü tanımadığından, bu figür sınır ötesi yapılarda genellikle offshore jurisdiction'lar üzerinden kurgulanır. Proje finansmanında güvence (security) tröstlerinde settlor rolü, teminatın alacaklılar adına bağımsız bir mütevelli tarafından tutulmasını sağladığı için varlığın settlor'un iflas masasından ayrıştırılması (bankruptcy remoteness) yapısının hukuki temelini oluşturur.
English Definition
The person who creates a trust, transferring their property to a trustee so that it is managed for the benefit of designated beneficiaries; on creation they relinquish legal ownership of the asset but fix the terms of administration through the trust deed. Because Turkish law does not recognize the trust in its true form, this figure is usually structured through offshore jurisdictions in cross-border arrangements. In project-finance security trusts the settlor role, by placing collateral with an independent trustee for the lenders, forms the legal basis of the bankruptcy-remoteness that separates the asset from the settlor's insolvency estate.
