Bir şirketin sermayesinin bölünebilir en küçük birimidir; sahibine, şirketteki ekonomik hakları (temettü ve tasfiye bakiyesi) ile yönetimsel hakları (oy) orantılı olarak veren ortaklık payıdır. Payın türü — imtiyazlı, adi, oydan yoksun — sahibin nakit akışı ve kontrol üzerindeki konumunu belirler. Proje finansmanında SPV'nin pay yapısı, sponsor öz sermayesinin nereye enjekte edildiğini ve kredi verenlerin teminat aldığı hisse rehninin (share pledge) neyi kapsadığını tanımlar; farklı sınıflardaki payların oy ve dağıtım hakları, bir sponsorun azınlık ekonomik payıyla dahi kontrolü elinde tutabildiği yapılar kurmasına imkân tanır.
English Definition
The smallest divisible unit of a company's capital; an ownership interest giving its holder economic rights (dividends and liquidation surplus) and governance rights (votes) in proportion. The class of share — preferred, ordinary, non-voting — sets the holder's position over cash flow and control. In project finance the share structure of the SPV defines where sponsor equity is injected and what the share pledge taken as security by lenders covers; the voting and distribution rights of different classes let a sponsor build structures that retain control even with a minority economic interest.
