Bir kişinin belirli sayıda paya sahip olduğunu tevsik eden, şirket tarafından düzenlenen resmi belgedir; nama veya hamiline yazılı olabilir ve mülkiyetin devri bu belgenin niteliğine göre farklı usullere tabidir. Kaydileştirilmiş (dematerialised) sistemlerde fiziki senet yerini merkezi kayıt kuruluşundaki elektronik kayda bırakmıştır, ancak fiziki senet birçok özel şirkette hâlâ kullanılır. Proje finansmanında hisse rehni tesis edilirken, fiziki pay senetlerinin ve devir cirolarının rehin alan lehine teslim ve tevdi edilmesi teminatın mükemmelleştirilmesinin (perfection) bir koşuludur; senedin nama yazılı olduğu yapılarda pay defterine şerh, hamiline yazılı olanlarda ise zilyetlik devri belirleyici olur.
English Definition
An official document issued by the company evidencing that a person holds a specified number of shares; it may be registered or bearer, and transfer of ownership follows different procedures according to its nature. In dematerialized systems the physical certificate has given way to an electronic entry at a central depository, yet physical certificates are still used in many private companies. In project finance, when a share pledge is created, delivering and depositing the physical certificates and transfer endorsements in favor of the pledgee is a condition of perfecting the security; in registered-share structures an annotation in the share ledger is decisive, while in bearer structures the transfer of possession controls.
