Aynı teminat havuzunun birden fazla alacaklı ya da alacaklı sınıfı lehine tesis edildiği ve bunlar arasında paylaşıldığı teminat yapısıdır; proje finansmanında ortak teminat, farklı kredi dilimlerinin aynı proje varlıkları, hesaplar ve hisse rehni üzerinde eşzamanlı hak sahibi olmasını sağlar. Bu yapının kalbi intercreditor sözleşmesidir: teminatın paraya çevrilmesinden elde edilen hasılatın hangi sırayla ve hangi oranda dağıtılacağı, bir security agent aracılığıyla önceden sabitlenir; zira teminatın varlığı değil, kriz anında hasılata kimin önce ulaştığı alacaklının gerçek pozisyonunu belirler.
English Definition
A security structure in which the same collateral pool is granted for the benefit of, and shared among, several creditors or classes of creditor; in project finance shared security lets distinct debt tranches hold simultaneous rights over the same project assets, accounts and share pledge. The heart of the structure is the intercreditor agreement, which fixes in advance, through a common security agent, the order and proportion in which enforcement proceeds are distributed; because it is not the existence of security but who reaches the proceeds first in distress that determines a lender's real position.
