Proje finansmanında pay sahibi çoğu zaman projeyi taşıyan özel amaçlı şirketin sponsorudur ve pozisyonu, alacaklıların gerisinde artık hak sahibi olmasıyla tanımlanır; bu nedenle nakit akış şelalesinde pay sahibine dağıtım, ancak borç servisi, rezerv hesapları ve covenant testleri karşılandıktan sonra sıraya girer, ki bu da sponsorun getirisini yapısal olarak en riskli katmana yerleştirir.
English Definition
A natural or legal person holding a share in a company's capital and thereby the economic rights (dividends, liquidation surplus) and the governance rights (votes) that the share confers. In project finance the shareholder is usually the sponsor of the special-purpose vehicle carrying the project, and its position is defined by ranking behind creditors as the residual claimant; distributions to the shareholder therefore fall into the cash-flow waterfall only after debt service, reserve accounts and covenant tests are satisfied, which structurally places the sponsor's return in the riskiest layer.
