Proje finansmanında pay sahipleri sözleşmesi, sermaye taahhütleri, ek sermaye çağrısı mekaniği, rezerve edilmiş kararlar, kilitlenme çözümü ile sürükleme ve etek tutma hükümlerini içerdiği için finansman yapısının bel kemiğidir; kredi verenler tipik olarak bu sözleşmeyi due diligence'ta satır satır inceler ve çoğu zaman kendi izinleri olmadan değiştirilemeyeceğine dair bir taahhüt alır.
English Definition
A contract among a company's shareholders that, beyond the articles of association, governs matters such as governance, share transfers, exit and dispute resolution, and is as a rule kept confidential. In project finance the shareholders' agreement is the backbone of the ownership structure, since it houses the capital commitments, the mechanics of further capital calls, the reserved matters, deadlock resolution and the drag-along and tag-along provisions; lenders typically review it line by line in due diligence and often obtain an undertaking that it may not be amended without their consent.
