Sendikasyon ve kulüp kredilerinde yer alan, bir kredi verenin borçludan payına düşenden fazlasını tahsil etmesi hâlinde fazlalığı diğer kredi verenlerle orantılı biçimde paylaşmasını zorunlu kılan sözleşme hükmüdür. Bu hükmün amacı, kredi verenlerin eşit muamele ilkesini icra safhasında da korumak ve bir kredi verenin ayrı takas ya da münferit dava yoluyla öne geçmesini engellemektir; deneyimli hukukçu, paylaşım hükmünün takas, teminat icrası ve dava yoluyla elde edilen tahsilatları da kapsayacak genişlikte kaleme alınıp alınmadığına dikkat eder, zira dar yazılmış bir hüküm ilk davranan kredi vereni ödüllendirir.
English Definition
A provision in syndicated and club loans requiring a lender that recovers more than its share from the borrower to distribute the excess pro rata to the other lenders. Its purpose is to preserve the lenders' pari passu treatment into the enforcement phase and to prevent any one lender from getting ahead through separate set-off or individual litigation; an experienced lawyer watches whether the sharing clause is drafted broadly enough to capture recoveries obtained by set-off, security enforcement and suit alike, because a narrowly worded clause rewards the lender that moves first.
