English Definition
A contractual arrangement in which a principal appoints a single agent as the sole and exclusive authority for a given transaction or market, undertaking to use no other intermediary for the duration. It differs from simple exclusivity in that, in most jurisdictions, even a deal the principal sources directly can generate a commission. In capital-raising and asset-sale mandates this distinction is a costly negotiation point; the difference between 'sole' and 'sole and exclusive' determines whether a buyer the principal brings itself triggers a fee, so a single word in the mandate letter directly widens or narrows the adviser's entitlement.
