Kalkınma bankaları ve kredi verenler finansmanı bu standartlara uyum koşuluna bağlar; zira sözleşmede yazılı covenant'lar ancak sağlam bir işletme kültürüyle desteklendiğinde fiilen icra edilebilir. Uygulamada bu ölçüt, ilişkili taraf işlemlerinin kol mesafesinde fiyatlanması ve kâr dağıtımının borç servis kapasitesini zedelememesi gibi somut davranış kurallarına indirgenir.
English Definition
A benchmark requiring that an enterprise conduct its affairs according to prudent commercial logic, transparent accounting and predictable management practice. Development lenders condition disbursement on adherence to these standards, because the covenants written into a facility are enforceable in practice only where a sound operating culture already supports them. In application the test reduces to concrete behavioural rules, such as pricing related-party transactions at arm's length and ensuring that distributions never impair debt-service capacity.
