Proje finansmanında, arazi, bağlantı hakkı ya da eşsiz bir varlığın devrini konu alan sözleşmelerde bilhassa önem taşır, zira böyle bir varlığın piyasada dengi yoktur. Ancak mahkemeler aynen ifayı takdir yetkisiyle verir; uzun süreli inşaat taahhütlerinde icranın denetim yükü ağır olduğundan, hâkimler çoğu kez bu çareyi reddedip tarafları tazminata yönlendirir.
English Definition
An equitable remedy that compels a party to actually perform its contractual obligation rather than pay damages, invoked where monetary compensation is inadequate and the promised performance has no substitute. It matters in project finance for agreements over land, interconnection rights, or a unique asset with no market equivalent. Courts, however, grant specific performance at their discretion; because supervising execution of a long construction undertaking is burdensome, judges frequently decline the remedy and steer the parties toward damages instead.
