Bir ana şirketin, faaliyetlerini iki ya da daha fazla bağımsız tüzel kişiliğe bölerek kendisini tümüyle tasfiye ettiği kurumsal ayrışmadır; spin-off'tan farkı, ana yapının varlığını sürdürmeyip ortadan kalkmasıdır. Amaç çoğu zaman farklı iş kollarını ayrı sermaye tabanlarına ve ayrı değerleme mantıklarına kavuşturmaktır. Borç yapısı açısından tam bölünme en hassas anları üretir: mevcut kredi ve tahvil belgelerindeki kontrol değişikliği ve birleşme/bölünme kısıtları devreye girer, borcun hangi ardıl tüzel kişilikte kalacağı ve teminatın nasıl yeniden tesis edileceği alacaklıların önceden onayını gerektirir.
English Definition
A corporate separation in which a parent divides its operations into two or more independent legal entities and dissolves itself entirely; unlike a spin-off, the parent structure does not survive but disappears. The aim is usually to give distinct business lines their own capital bases and valuation logics. In debt terms a split-up produces the most delicate moments: the change-of-control and merger/demerger restrictions in existing loan and bond documents are engaged, and which successor entity the debt remains with, and how security is re-established, require creditors' prior consent.
