English Definition
The principal enterprise that develops a project, contributes its equity and around which the financing structure is built; as shareholder of the project company (SPV) it bears both the first return and the first-loss risk. To lenders, the sponsor's credibility, track record and continuing support undertakings are a fundamental element of the transaction's bankability. Although the non-recourse or limited-recourse logic of project finance shields the sponsor from balance-sheet risk, a completion guarantee, an equity contribution undertaking and certain performance assurances keep the sponsor inside the structure until construction risk has fully passed; that transition is the moment the sponsor's capital is released.
