Ev sahibi devlet ile yatırımcı arasındaki imtiyaz veya yatırım sözleşmesinde, projenin ekonomisini belirleyen hukuki ve mali rejimin — vergi oranları, gümrük, çevre yükümlülükleri — sözleşme süresince dondurulmasını ya da aleyhte değişiklik hâlinde yatırımcının tazmin edilmesini öngören hükümdür. Uzun vadeli, geri dönüşü olmayan sermaye taahhüdü gerektiren altyapı projelerinde, kredi verenler bu kaydı politik risk azaltıcı olarak fiyatlar ve çoğu zaman DFI güvencesi ya da politik risk sigortasıyla birlikte ister. Buna karşılık modern uygulamada mutlak dondurma yerine ekonomik denge formülü tercih edilir, zira mutlak dondurma devletin düzenleme egemenliğiyle çatışır.
English Definition
A provision in a host-government or concession agreement that freezes the legal and fiscal regime governing the project's economics — tax rates, customs, environmental obligations — for the contract term, or compensates the investor if that regime shifts adversely. Because infrastructure projects commit irreversible long-dated capital, lenders price this clause as political-risk mitigation and often pair it with a DFI guarantee or political-risk insurance. Contemporary drafting favours an economic-equilibrium formulation over an outright freeze, since absolute stabilisation collides with the state's sovereign right to regulate and rarely survives arbitral scrutiny intact.
