Ortak girişim ve SPV yapılarında personel atamaları salt idari bir konu değil, kontrol ve yönetişim meselesidir; genel müdür, mali işler direktörü ve teknik direktör gibi anahtar pozisyonların hangi ortağın önerisiyle doldurulacağı çoğu zaman hissedarlar sözleşmesinde rezerve edilmiş konu olarak düzenlenir. English Definition
The process of placing and assigning personnel to the positions of an institution or project company. In joint-venture and SPV structures, staff appointments are not a purely administrative matter but a question of control and governance, and the right to nominate key posts — the general manager, the finance director, the technical lead — is frequently reserved to a particular partner in the shareholders' agreement. Lenders, for their part, embed in the covenant package a requirement that certain key roles be filled by qualified individuals, sometimes subjecting any change to their prior approval.
