Tekrar eden işlemlerde kullanılmak üzere önceden hazırlanmış, üzerinde geniş mutabakat oluşmuş şablon sözleşme ya da belgedir; kredi anlaşmalarında ve türev işlemlerde piyasa uygulamasının kristalleştiği metinlerdir. Standart belge kullanımı, müzakere süresini ve hukuki maliyeti düşürür; ancak asıl değeri, hükümlerin piyasa tarafından defalarca test edilmiş ve yorumu öngörülebilir hâle gelmiş olmasındadır. Proje finansmanında ise projenin kendine özgü risk dağılımı çoğu zaman standart metnin çerçevesine sığmadığı için, standart belge bir başlangıç noktası işlevi görür; asıl müzakere, standart hükümlerin projeye özgü ekler ve tadil hükümleriyle nasıl büküleceği üzerinde yürür.
English Definition
A pre-prepared, widely agreed template contract or document for use in recurring transactions — the texts in which market practice has crystallised for loan agreements and derivative transactions. The use of standard documents lowers negotiation time and legal cost, but their real value lies in provisions that the market has tested repeatedly and whose interpretation has become predictable. In project finance, because a project's idiosyncratic risk allocation seldom fits the frame of the standard text, the standard document serves as a starting point; the substantive negotiation runs over how its provisions are bent through project-specific schedules and amendment terms, and the standard form is the map, not the destination.
