English Definition
The recurring, market-agreed formulaic provisions in contracts — the parts often called boilerplate — of which dispute-resolution, governing-law, assignment, and force-majeure clauses are typical examples. The strength of such language derives from interpretations that are settled in court and arbitral practice, so departing from the standard text means taking on unpredictable interpretive risk. Yet in project finance the experienced negotiator knows that the most consequential shifts in risk are frequently concealed in subtle edits to clauses presumed to be standard; a single word in an assignment or force-majeure definition can quietly reverse which party bears the risk, which is why boilerplate rewards the closest reading, not the least.
