English Definition
The notional value that a company's board assigns, for accounting and legal purposes, to shares that carry no par value. Unlike par-value shares, this amount is set by corporate resolution rather than by statute; it nonetheless affects the split between paid-in capital and capital surplus and hence the distributable amount. In project finance how the stated value is fixed in the share structure of the special-purpose vehicle sets the corporate approval thresholds required for capital reduction and sponsor distribution, forming the legal ground of the security and distribution covenants.
