Bir kurumun tekrarlayan işlemlerinde varsayılan olarak uyguladığı, her sözleşmede yeniden müzakere edilmeyen önceden hazırlanmış sözleşme çerçevesidir. Kalkınma finansmanı kuruluşlarının kredi anlaşmaları tipik olarak bu tür standart hüküm setlerine atıfla kurulur; bunların standart olması müzakere edilemez oldukları anlamına gelmez, ancak pratikte pazarlık gücü asimetrisi nedeniyle borçlu tarafın bu çerçeveyi bütünüyle değil, yalnızca projeye özgü eklerde (schedules) değiştirebildiği sıkça görülür. Gerçek risk çoğu kez bu standart metnin sessizce içerdiği çapraz temerrüt (cross-default) ve olumsuz değişiklik (MAC) hükümlerinde saklıdır.
English Definition
A pre-drafted contractual framework a body applies by default across its recurring transactions, not renegotiated in each contract. The loan agreements of development finance institutions are typically built by reference to such standard sets of terms; their being standard does not make them non-negotiable, but in practice, owing to bargaining asymmetry, the borrower can often modify them only at the level of project-specific schedules rather than the framework itself. The real risk frequently lies in the cross-default and material-adverse-change provisions the standard text quietly contains.
