English Definition
Denoting a value, rate or cost basis raised above its previous level; the commonest uses are stepping up an asset's tax basis to market value after a transfer (stepped-up basis) and a coupon that rises in steps (step-up coupon). The tax consequence is decisive: in an asset-based acquisition the stepped-up basis the buyer depreciates enlarges the future tax shield, the primary source of the price gap between a share sale and an asset sale. Experienced buyers reflect the present value of that shield in the offer price, so the deal structure is not merely legal but a valuation matter.
