English Definition
The official register recording a company's issued shares, their holders and transfers of ownership; it constitutes the primary evidence of legal shareholding. A transfer takes effect against the company not merely by contract but by its entry in the register. This detail is decisive for project finance, because the creation and perfection of a share pledge in most jurisdictions depend on an annotation in the stock register; since the lender rests the validity of its collateral on that entry, keeping the register accurate and current at closing is not a formality but the foundation of the security architecture.
