Şirketin pay defterinde belirli bir tarih itibarıyla malik olarak görünen ve bu nedenle temettü, oy hakkı ile diğer ortaklık haklarını kullanmaya yetkili olan kişidir; nihai ekonomik sahipten (beneficial owner) farklılaşabilir. Kayıt tarihi, hangi tarafın bu hakları kullanacağını kesin biçimde belirler ve bu ayrım özellikle kolektif kararlarda kritiktir. Proje finansmanı bağlamında, bir kredi sözleşmesindeki covenant feragatinin ya da yeniden yapılandırmanın onaylanmasında oy kullanacak veya rıza verecek tarafın kim olduğu, tam olarak kayıtlı pay sahibi statüsüne göre saptanır; aracı hesaplar zincirinde gerçek sahibin kim olduğu ise ayrı bir tespit sorunu doğurabilir.
English Definition
The person shown as owner in the company's stock register as of a given date, thereby entitled to exercise dividend, voting and other membership rights; this may differ from the beneficial owner. The record date conclusively determines which party exercises these rights, a distinction that is critical in collective decisions. In a project-finance context, the party who will vote on or consent to a covenant waiver or restructuring is fixed precisely by holder-of-record status; identifying the true owner through a chain of nominee accounts, however, can pose a separate determination problem that slows a consent solicitation.
