Kayda düşülen şerh, sicil kuruluşunu ilgili payı devretmekten alıkoyar ve böylece hakkı korunmaya çalışılan tarafın menfaatini muhafaza eder. English Definition
A formal notice instructing the institution maintaining a security's register, the transfer agent or registrar, to suspend transfers on a specific certificate or account temporarily; it is used in cases of a lost certificate, disputed ownership or a pledge notification. The annotation entered on the record prevents the registrar from transferring the affected security, thereby preserving the interest of the party seeking protection. In project finance, when a share pledge is created, a similar transfer restriction is inscribed on the register to bar disposal of the pledged shares without the lender's consent, forming a practical barrier against the diversion of collateral.
