English Definition
A form of winding-up in which the debtor's assets are converted to cash and distributed to creditors in order of priority rather than reorganized, with no aim of preserving the going concern. Chapter 7 of the U.S. Code embodies this logic, and the secured creditor's rank governs the distribution. In project financings the strength of the lenders' security package and the presence of step-in rights effectively determine whether the parties push toward straight liquidation or toward a restructuring instead.
