Pay oranı çoğu zaman kontrol düzeyinin altında kalsa dahi, ortaklık anlaşmasındaki veto hakları, tedarik taahhütleri ve çıkış hükümleri fiili nüfuzunu pay oranından bağımsız kılar. Proje geliştirmede stratejik ortağın varlığı kredi verenler nezdinde sponsor riskini yumuşatabilir; ancak aynı hükümler, ortaklar arası bir anlaşmazlıkta finansmanın kilitlenmesine de zemin hazırlar.
English Definition
A partner that brings not only capital but technology, market access, operational capacity, or reputation to an undertaking, and computes its return across the whole of that contribution. Even where its shareholding sits below control, the veto rights, supply commitments, and exit provisions of the shareholders' agreement make its effective influence independent of the percentage held. In project development the presence of a strategic partner can soften sponsor risk for lenders, yet the same provisions can also freeze the financing if the partners fall into dispute.
