Bir varlık havuzunun ya da projenin nakit akışının, geleneksel kurumsal kredinin ötesinde, amaca özel kuruluşlar (SPV), teminatlandırma ve risk dilimlemesi (tranching) yoluyla yeniden paketlenerek finanse edildiği tekniktir. Amaç, riski onu en iyi taşıyabilecek ve fiyatlayabilecek tarafa aktarmak ve finansmanı borçlunun genel bilançosundan çok belirli bir nakit akışına bağlamaktır. Proje finansmanı bu ailenin en saf biçimlerinden biridir; nitekim geri ödemenin sponsorun bilançosuna değil, projenin sözleşmeye bağlı nakit akışına dayanması (limited recourse), teminat paketinin ve nakit şelalesinin (cash waterfall) mimarisini belirleyici kılar.
English Definition
A technique in which the cash flow of an asset pool or project is financed by repackaging it — through special-purpose vehicles, collateralization, and the tranching of risk — beyond conventional corporate lending. The aim is to allocate risk to the party best able to bear and price it, and to tie the financing to a defined cash flow rather than to the borrower's general balance sheet. Project finance is one of the purest forms in this family, since the reliance of repayment on the project's contracted cash flow rather than the sponsor's balance sheet — limited recourse — makes the architecture of the security package and the cash waterfall decisive.
