English Definition
A price indication that is not firm and remains conditional on the offeror's final confirmation or re-quote. In debt and syndication markets, when an offer is given on a subject basis the trade does not become binding even if the counterparty accepts, since the price stays exposed to market movement and to the desk's internal limits until reconfirmed. For the practitioner the distinction is decisive: a subject offer signals intent, not an executable commitment, and treating it as firm is a common source of settlement disputes.
