English Definition
A qualifier stating that the terms presented are not final and may be altered unilaterally at a later stage. In project financing, indicative term sheets are almost invariably marked subject to change, which preserves the arranger's right to recalibrate pricing, margin, and the security package within the bounds of credit-committee approval and a market-flex clause. The distinction matters to a sponsor: a signed indicative term sheet is a framework that can still move up to drawdown, not a firm commitment to lend on those exact terms.
