Bir kredi verenin, kredinin hukuki mülkiyetini devretmeksizin ekonomik menfaatini bir başka tarafa satmasıdır. Alt katılımcı riski ve getiriyi üstlenir; ancak borçluyla arasında doğrudan bir hukuki ilişki doğmaz, hakları yalnızca asıl kredi verene karşıdır. Bu yönüyle alt katılım, temliğin (assignment) ya da yenilemenin (novation) aksine borçlunun onayını gerektirmediği için sessiz risk aktarımına imkân verir; buna karşılık alt katılımcı, parayı asıl kredi verenden tahsil ettiği için onun iflas riskine maruz kalır.
English Definition
The sale by a lender of the economic interest in a loan to another party without transferring legal title to it. The subparticipant takes on the risk and return but has no direct legal relationship with the borrower, holding rights only against the original lender. Because, unlike an assignment or novation, it does not require the borrower's consent, subparticipation allows a silent transfer of risk, but in exchange the subparticipant is exposed to the insolvency of the original lender, since it collects its money from that lender rather than from the borrower.
