Halefiyet yoluyla asıl alacaklının haklarına geçen taraftır; tipik olarak zararı ödeyen sigortacı ya da borçlu adına ifa eden garantör bu konumdadır. Halefin elde ettiği hak, halef olduğu alacaklının hakkından daha güçlü olamaz; devraldığı talep, asıl alacağa bağlı tüm defi ve sınırlamalarla birlikte geçer. Proje finansmanında halefin konumu alacaklılar arası sıralama açısından önem taşır; zira halefin rücu talebi çoğu zaman kıdemli borcun gerisine itilir ve bağımsız bir öncelik iddia edemez.
English Definition
The party that succeeds to the original creditor's rights through subrogation, typically an insurer that has paid a loss or a guarantor that has performed on the borrower's behalf. The subrogee's right can be no stronger than that of the creditor it replaces, since the claim it takes over passes with all the defenses and limitations attached to the original. In project financing the subrogee's position matters for intercreditor ranking, because its recovery claim is usually pushed behind the senior debt and cannot assert an independent priority.
