English Definition
A contract in which an investor commits to buy a specified number of shares or fund interests at a set price. In project financing this agreement is the legal instrument of the equity injection at financial close, setting out conditions precedent and subsequent, representations and warranties, and the payment schedule. The real leverage lies in the conditions to which the subscription obligation is tied, since senior lenders frequently require the sponsor to contribute its equity before or alongside the debt, and may secure that undertaking with an equity commitment letter.
