Bir yatırımcının, yeni ihraç edilecek paylara belirli koşullarla iştirak etme hakkını belgeleyen kıymetli evraktır. Bedelli sermaye artırımlarında mevcut ortaklara verilen bu belge çoğu zaman devredilebilir; hakkını kullanmak istemeyen ortak, belgeyi piyasada satarak rüçhan hakkının ekonomik değerini paraya çevirebilir. Proje düzeyinde bu mekanizma, sermaye artırımına katılmayan ortağın payının sulanmasını (dilution) belirli ölçüde telafi ederek özkaynak yapısındaki güç dengesinin ani kaymasını yumuşatır.
English Definition
A negotiable instrument evidencing an investor's right to subscribe, on defined terms, to shares that are to be newly issued. Granted to existing shareholders in rights issues, this certificate is often transferable, so a shareholder unwilling to exercise the right can sell it in the market and monetize the economic value of the pre-emption right. At the project level this mechanism partly compensates the dilution of a shareholder that does not take part in the capital increase, softening any abrupt shift in the balance of power within the equity structure.
