Bir yatırımcının, ihraç edilen hisseleri satın almayı taahhüt ederek şirketin özkaynağına katılmasıdır. Bu eylem, mevcut payların el değiştirmesinden (ikincil işlem) farklı olarak şirkete taze sermaye girişi sağlar; proje şirketlerinde finansal kapanışta yapılan hisse iştiraki, borç-özkaynak oranını kredi verenlerin talep ettiği eşiğe getiren temel araçtır. Asıl mesele, iştirakin nakit mi yoksa ayni katkı (arazi, izin, geliştirme masrafı) yoluyla mı yapıldığıdır; ayni katkının değerlemesi, kıdemli kredi verenlerin özkaynak yeterliliği testinde çoğu zaman en çekişmeli kalemdir.
English Definition
An investor's participation in a company's equity by committing to buy issued shares. Unlike a change of hands in existing shares on the secondary market, this act brings fresh capital into the company, and in project companies the subscription of shares at financial close is the primary tool for bringing the debt-to-equity ratio to the threshold lenders require. The key question is whether the subscription is made in cash or through an in-kind contribution — land, permits, development cost — since the valuation of an in-kind contribution is frequently the most contested item in the senior lenders' equity-adequacy test.
