English Definition
In companies with a two-tier board structure—as in Germany, the Netherlands and other civil-law systems—the upper body that appoints, oversees and approves the strategic decisions of the executive management board. It does not run day-to-day operations but signs off on major investment, borrowing and senior appointments. In project joint ventures formed under a civil-law framework, reserved matters and lender step-in rights frequently attach at the supervisory board level, so an investor negotiating a board seat targets this body precisely because that is where major-capex and financing approvals sit.
