Bir projenin ya da işletmenin ihtiyaç duyduğu mal, girdi ya da hammaddenin teslimini, fiyatını ve süresini düzenleyen sözleşmedir. Proje finansmanında yakıt veya hammadde tedarik sözleşmesi, satış (offtake) sözleşmesi kadar bankalanabilirlik açısından kritiktir; kredi verenler tedarik sözleşmesinin süresinin borç vadesini karşılamasını ve fiyat mekanizmasının satış sözleşmesiyle sırt sırta (back-to-back) kurgulanmasını şart koşar. Zira tedarik fiyat endeksi satış fiyatıyla eşleşmediğinde, kâğıt üzerinde 'sözleşmeye bağlanmış' görünen bir projenin içine gizli bir merchant riski yerleşir; nitekim birçok yeniden yapılandırma, gelir değil, endeksi kaymış girdi maliyeti yüzünden tetiklenmiştir.
English Definition
A contract governing the delivery, price and term of the goods, inputs or feedstock a project or operation requires. In project finance the fuel or feedstock supply contract is as critical to bankability as the offtake; lenders require its term to match or exceed the debt tenor and its price mechanism to be structured back-to-back with the offtake. Where the supply-price index fails to match the sale price, a merchant exposure is embedded inside a project that looks fully contracted on paper—indeed many restructurings are triggered not by revenue but by an input cost whose index has drifted.
