Bir kişinin, başka birinin borcunu, o borç ödenmediği takdirde ifa etmeyi alacaklıya karşı üstlendiği sözleşmesel ilişkidir. Kefaletin asıl borca bağlı (fer'i) niteliği belirleyicidir: asıl borç sona ererse kefalet de sona erer, asıl borcun def'ileri kefil tarafından da ileri sürülebilir. Bu bağımlılık kefaleti aval ve ilk talepte ödemeli garanti gibi bağımsız teminatlardan ayırır; kurumsal kredilendirmede alacaklılar bu yüzden çoğu kez fer'i kefalet yerine bağımsız garanti talep ederek asıl borç ilişkisinin kusurlarından soyutlanmayı amaçlar.
English Definition
The contractual relationship by which one person undertakes to a creditor to perform another's obligation should that obligation go unpaid. Its accessory character is decisive: if the principal debt is extinguished the suretyship falls away, and the surety may raise the defences available to the principal debtor. This dependence separates suretyship from autonomous securities such as the aval or the on-demand guarantee, which is why corporate lenders often insist on an independent guarantee to insulate themselves from defects in the underlying obligation.
