English Definition
The surplus arising in a mutual or cooperative society, friendly society or building society, where period income exceeds outgoings and belongs to the members; with no outside shareholders, this surplus is not distributable profit but the members' common property. Whether it is returned to members or transferred to reserves is the core choice governing the society's long-term solvency. The structure establishes a governance logic in which surplus is allocated to members' future benefit rather than to shareholder dividends.
